ParkPad Marketplace Terms and Conditions Effective Date: September 2, 2026
- Overview These Marketplace Terms and Conditions ("Marketplace Terms") govern your use of the peer-to-peer marketplace operated by ParkPad LLC ("ParkPad," "we," "us," or "our") through which individuals who wish to make a parking space available ("Hosts") connect with individuals who wish to rent, lease, or license a parking space ("Parkers") (the "Marketplace"). These Marketplace Terms supplement, and are incorporated into, our Website Terms of Use. Capitalized terms not defined here have the meanings given in the Website Terms of Use. By creating a Listing, submitting a Booking request, or otherwise using the Marketplace, you agree to these Marketplace Terms. THESE MARKETPLACE TERMS CONTAIN IMPORTANT DISCLAIMERS, LIMITATIONS ON PARKPAD'S LIABILITY, AN INDEMNIFICATION OBLIGATION, AND A BINDING ARBITRATION AGREEMENT WITH A CLASS ACTION WAIVER. PLEASE READ THEM CAREFULLY.
- Definitions ● "Space" means a parking space, spot, or area that a Host makes available through a Listing. ● "Listing" means a Host's posting of a Space on the Marketplace, including its description, photographs, location, availability, pricing, and any rules or restrictions the Host specifies. ● "Booking" means a confirmed reservation of a Space by a Parker for a specified period, on the terms of the applicable Listing. ● "Booking Agreement" means the direct rental, lease, license, or other agreement formed between a Host and a Parker when a Booking is confirmed. ● "Fees" means the amounts ParkPad charges for use of the Marketplace, as described in Section 9. ● “User” means You, whether You are a Host, Parker or visitor to any website operated by ParkPad.
- ParkPad's Role: A Venue Only ParkPad operates an online venue that allows Hosts to list Spaces and Parkers to find and book them. ParkPad is not a party to, and assumes no responsibility or liability for, any Booking Agreement or any other arrangement between a Host and a Parker. The Booking Agreement is formed directly and solely between the Host and the Parker. ParkPad does not own, lease, operate, manage, control, supervise, or inspect any Space, and ParkPad is not a parking operator, garage operator, real estate broker, insurer, or party to the underlying transaction. ParkPad does not guarantee the existence, legality, availability, safety, or condition of any Space, or the accuracy of any Listing or the identity, intentions, or conduct of any User. ParkPad may, in its discretion, review Listings, photographs, and supporting information before publication as a fraud-prevention and quality measure, but this review — including any address-matching or documentation check ParkPad may perform — is not a guarantee, endorsement, warranty, or verification of a Host's legal authority to list a Space, or of a Listing's accuracy, and Users may not rely on it as such.
- Eligibility and Approval You must be at least 18 years old to list or book a Space. ParkPad requires Hosts and Parkers to be approved before listing or booking, and may request supporting documentation from a Host regarding the Host's authorization to offer a Space. In evaluating whether to approve a Host, a Parker, or a specific Listing, ParkPad may also consider risk- and fraud-related information that Stripe shares with us in connection with a User's Stripe Account, as described in our Privacy Policy. Approval, and continued access to the Marketplace, is granted and may be revoked in ParkPad's sole discretion, for any reason or no reason, with or without notice.
- Host Responsibilities and Representations By creating a Listing, each Host represents, warrants, and agrees that: ● (a) the Host has full legal right, title, and authority, and has obtained any consent or authorization required under any lease, sublease, condominium or homeowners' association rule, property-management agreement, mortgage, zoning or land-use requirement, or other agreement, and under applicable law, to offer the Space for rent, lease, or license through the Marketplace, and that doing so does not violate any such agreement, rule, or law; ● (b) the Listing, including the Space's address, description, photographs, availability, pricing, and any posted rules, is accurate, current, and not misleading; ● (c) the Host will honor confirmed Bookings and will provide reasonable advance communication to a Parker regarding any change in a Space's availability; ● (d) the Host is solely responsible for determining, charging (if applicable), collecting, reporting, and remitting any taxes associated with the Host's use of the Marketplace, as described in Section 15; and ● (e) the Host is solely responsible for determining what insurance, if any, the Host needs in connection with offering a Space, as described in Section 13; and ● (f) the Host owns, or has obtained all necessary rights, licenses, and permissions to use and display, all photographs, descriptions, and other content the Host submits with the Listing, and that content does not infringe or violate any third party's intellectual property or other rights. ParkPad does not verify, and is not responsible for confirming, a Host's legal right or authority to offer a Space — including whether the Space, its use, or the Host's Listing complies with any applicable zoning, land-use, or municipal code requirement — and disclaims all liability arising from a Host's breach of the representations in this Section 5, including any claim by a landlord, condominium or homeowners' association, property manager, governmental authority, or other third party that a Host's Listing violated such party's rights, applicable zoning or land-use law, or the Host's own lease, rules, or agreements. Each Host is solely responsible for determining whether offering a Space through the Marketplace is a permitted use under applicable zoning and land-use requirements, including any requirement that may depend on the number of spaces offered at a single location, and ParkPad recommends that a Host confirm this with the Host's own attorney before creating a Listing.
- Parker Responsibilities Each Parker agrees to: park only within the specific Space, and only during the dates and times, covered by a confirmed Booking; comply with any posted rules or restrictions for the Space and any reasonable instructions from the Host; be solely responsible for the Parker's own vehicle and its contents; and vacate the Space by the end of the Booking period unless the Booking is renewed or extended. Parkers acknowledge that failure to timely vacate a Space may result in additional charges, penalties, or removal of the vehicle as described in Section 12.
- Listings Hosts control the content of their own Listings, including the description, photographs, availability calendar, pricing, and cancellation policy, subject to any standard listing options ParkPad's platform makes available. ParkPad may share general, aggregated information (such as typical pricing ranges in an area) to help Hosts price their Listings, but does not set, approve, or negotiate the price, availability, or cancellation terms of any individual Listing, and does not control the terms of any Booking Agreement between a Host and a Parker. ParkPad may, in its sole discretion, reject, edit, suspend, or remove any Listing at any time, including for a suspected violation of these Marketplace Terms, applicable law, or ParkPad's content standards.
- Bookings A Parker requests a Booking through the Site. Depending on the Host's settings, a Booking is confirmed either when the Host approves the request or, if the Host has enabled auto-approval, automatically upon request. Once confirmed, a binding Booking Agreement is formed directly between the Host and the Parker, on the terms of the applicable Listing (including price, dates and times, and cancellation policy) and subject to these Marketplace Terms. ParkPad is not a party to the Booking Agreement.
- Fees ParkPad charges a service fee to Hosts, Parkers, or both, calculated as a percentage of the Booking amount or another method disclosed to Users at the time of listing or booking, or in ParkPad's published fee schedule ("Fees"). ParkPad may change its Fees at any time; changes will apply to Bookings made after the change takes effect. All Fees are processed through Stripe together with the Booking payment.
- Payments All payments, payouts, and refunds on the Marketplace are processed by Stripe, a third-party payment processor, not by ParkPad. To send or receive payments, both Hosts and Parkers must create or connect a Stripe account and separately accept the Stripe Connected Account Agreement, the Stripe Services Agreement, and Stripe's Privacy Policy as well as any other policies or agreements required by Stripe. ParkPad does not process, hold, or have access to your full payment card or bank account number, is not a bank, money transmitter, or escrow agent, and disclaims all liability for Stripe's acts, omissions, errors, delays, or account holds. If you have a concern about a charge, contact ParkPad customer support; certain payment disputes may also be subject to Stripe's own dispute-resolution processes. Your acceptance of the Stripe Connected Account Agreement and Stripe Services Agreement creates a direct relationship, and a direct dispute-resolution process, between you and Stripe that is separate from these Marketplace Terms. A dispute about Stripe's own processing of a payment or about your Stripe Account is governed by Stripe's terms, not by Section 21 of these Marketplace Terms.
- Cancellations and Refunds Each Host selects a cancellation policy for the Host's Listing, which should be displayed to a Parker before booking and governs whether, and to what extent, the Parker is entitled to a refund upon cancellation. The Host's selected cancellation policy — not ParkPad — determines refund eligibility. ParkPad may, in its sole discretion and without obligation to do so, make a limited exception to a Host's cancellation policy (for example, where ParkPad determines a Listing was fraudulent, unsafe, or materially not as described), but ParkPad is under no obligation to issue a refund beyond funds actually collected and available through Stripe, and any dispute between a Host and a Parker regarding a cancellation or refund is between those parties.
- Overstays and Vehicle Removal The parties recognize that a central risk in a parking marketplace is a Parker's vehicle remaining in a Space after a Booking ends, or a vehicle occupying a Space without any Booking at all. The following provisions apply: ● A Parker must vacate a Space by the end of the confirmed Booking period. Remaining in the Space beyond that time without the Host's consent, or without a renewed or extended Booking, may violate the Host's or the underlying property owner's rights and applicable law. ● The decision of whether, when, and how to have an unauthorized or overstaying vehicle removed, towed, booted, ticketed, or reported to law enforcement rests solely and exclusively with the Host (or, where applicable, the underlying property owner or manager), in that party's sole discretion. ParkPad has no role in, does not authorize, arrange, dispatch, control, supervise, or facilitate any towing, booting, or vehicle-removal action, and does not contract with or endorse any towing company. ● Parkers acknowledge and accept the risk that a vehicle left in a Space without authorization may be towed, booted, ticketed, or subject to other enforcement action by a Host, a property owner, a towing company, or a governmental authority, and Hosts acknowledge that any such action they take or request is taken at the Host's own discretion and risk. ● ParkPad disclaims all liability, and is not responsible, for any towing, booting, ticketing, or other enforcement action, or for any damage to a vehicle occurring during such an action, incorrect identification of a vehicle, or removal based on inaccurate or incomplete information provided by any Host or Parker. Accuracy of license plate numbers, vehicle descriptions, and similar information exchanged between Users is solely the responsibility of the Users who submit it. ● Each Host (or, where applicable, the underlying property owner or manager) is solely responsible for complying with any applicable law and any towing company's requirements regarding the posting of notice or signage before a vehicle may lawfully be towed, booted, or otherwise removed from private property, including any signage a licensed towing company requires before it will accept a private-property tow. ParkPad does not post, verify, supply, or maintain any such signage, does not confirm that any Space is properly posted, and disclaims all liability for a Host's failure to post required notice or signage or for any towing or removal action taken without legally required signage in place. ● Hosts and Parkers are strongly encouraged to communicate directly through the Site's messaging feature regarding a delay or extension before requesting or taking a removal action.
- Damage, Loss, and Personal Injury; Insurance ParkPad is not an insurer and does not provide insurance covering Hosts, Parkers, vehicles, Spaces, or personal property. Each User is solely responsible for maintaining whatever insurance — such as automobile, homeowner's or renter's, general liability, or commercial insurance — the User believes is adequate to cover the User's participation in the Marketplace, including potential damage to or loss of a vehicle or other property, damage to the parking area and potential personal injury or death. Users are strongly encouraged to confirm with their own insurance carrier, and, where applicable, their landlord, condominium or homeowners' association, or employer, whether hosting or using a Space through the Marketplace is covered by, or permitted under, their existing insurance policies, leases, or agreements, before doing so. To the fullest extent permitted by law, ParkPad disclaims all liability for any injury, death, or property damage or loss arising out of or related to a Host's or Parker's use of the Marketplace or a Space, including damage or injury caused by another User, by the condition of a Space, by a third party (including a towing company), or in connection with a Booking Agreement, regardless of the legal theory asserted.
- Reviews and Ratings Hosts and Parkers may rate and review each other following a Booking. Reviews must be honest, based on the reviewer's own firsthand experience, and may not contain defamatory, harassing, discriminatory, or otherwise unlawful content. ParkPad may, but is not obligated to, monitor, remove, or refuse to publish reviews that violate these standards, and disclaims liability for the content of any review, which reflects the views of the User who submitted it and not those of ParkPad.
- Taxes ParkPad does not collect, remit, or withhold any parking tax, sales tax, occupancy tax, or other tax on behalf of any Host or Parker, including the City of Philadelphia's parking tax. Each Host is solely responsible for determining what taxes, if any, apply to income the Host earns through the Marketplace, and for assessing, collecting (if applicable), reporting, and remitting any such taxes to the appropriate governmental authority, including determining whether registration as a business or as a parking-tax collector with the City of Philadelphia, the Commonwealth of Pennsylvania, or any other authority is required. Each User is solely responsible for the User's own income tax obligations arising from use of the Marketplace. ParkPad strongly recommends that Hosts and Parkers consult a qualified accountant or tax professional regarding their specific obligations. Nothing in these Marketplace Terms, on the Site, or in any communication from ParkPad constitutes tax advice.
- Suspension and Removal ParkPad may, in its sole discretion and without liability, remove any Listing or other content, and suspend or terminate any User's access to the Marketplace, with or without notice, for an actual or suspected violation of these Marketplace Terms or the Website Terms of Use, applicable law, fraud, safety concerns, an unauthorized Listing, or for any other reason.
- Relationship of the Parties Hosts and Parkers act independently of ParkPad and of each other. Nothing in these Marketplace Terms creates an employment, agency, partnership, or joint-venture relationship between ParkPad and any User, or, except for the Booking Agreement itself, between a Host and a Parker. No User has authority to make any commitment on ParkPad's behalf.
- Indemnification Each Host and each Parker agrees to indemnify, defend, and hold harmless ParkPad and its officers, members, managers, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) the User's Listing or Booking; (b) the User's breach of these Marketplace Terms, including the representations in Section 5; (c) any Booking Agreement or dispute between a Host and a Parker; (d) any towing, vehicle removal, property damage, personal injury, death or tax matter described in these Marketplace Terms; or (e) the User's violation of applicable law or a third party's rights.
- Disclaimer of Warranties THE MARKETPLACE, AND ALL LISTINGS, SPACES AND PARKER INFORMATION MADE AVAILABLE THROUGH IT, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTY OF ANY KIND. TO THE FULLEST EXTENT PERMITTED BY LAW, PARKPAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, LEGALITY, AND SAFETY. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.
- Limitation of Liability TO THE FULLEST EXTENT PERMITTED BY LAW, PARKPAD WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THE MARKETPLACE, A LISTING, A BOOKING, OR A BOOKING AGREEMENT. TO THE FULLEST EXTENT PERMITTED BY LAW, PARKPAD'S TOTAL AGGREGATE LIABILITY TO ANY USER FOR ANY CLAIM ARISING OUT OF OR RELATED TO THE MARKETPLACE WILL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES THAT USER ACTUALLY PAID TO PARKPAD IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100). This Section 20 does not replace, and is in addition to, the limitation of liability in our Website Terms of Use. Some jurisdictions do not allow the limitation or exclusion of liability for certain damages, so some of the above limitations may not apply to you, in which case ParkPad's liability will be limited to the fullest extent permitted by applicable law.
- Dispute Resolution; Arbitration Any Dispute (as defined in the Website Terms of Use) relating to the Marketplace, a Listing, a Booking, or these Marketplace Terms — other than a dispute between a Host and a Parker arising solely under their own Booking Agreement, which those parties must resolve directly between themselves — is subject to the binding arbitration agreement, class action waiver, opt-out right, and one-year claim period set out in Section 14 of our Website Terms of Use, which is incorporated into these Marketplace Terms by reference.
- Governing Law and Venue These Marketplace Terms are governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict-of-laws principles, and, subject to Section 21, the exclusive venue for any Dispute not subject to arbitration is the state courts located in Philadelphia County, Pennsylvania, or the United States District Court for the Eastern District of Pennsylvania, consistent with Section 15 of our Website Terms of Use.
- Relationship to Other Policies These Marketplace Terms are part of, and incorporate by reference, our Website Terms of Use and our Privacy Policy. In the event of a conflict between these Marketplace Terms and the Website Terms of Use regarding a matter specifically addressed by these Marketplace Terms (such as Listings, Bookings, towing, taxes, or Marketplace-specific liability), these Marketplace Terms will control.
- Changes to These Marketplace Terms We may modify these Marketplace Terms from time to time in the same manner described in Section 16 of our Website Terms of Use.
